Parties

This Contributor Agreement ("Agreement") is made between SG INDIA INC ("Company") and any individual or entity uploading content to www.indianstockvideo.com ("Contributor").

1. Definitions

1.1Content
means video footage, clips, and other media files submitted by the Contributor.
1.2Platform
means the website www.indianstockvideo.com and related services.
1.3Model/Property Release
means a written consent from individuals, property owners, or rights holders for commercial use of likeness, property, or intellectual property appearing in Content.
1.4Net Revenue
means sales revenue collected by the Company for Content licenses, minus applicable taxes, refunds, chargebacks, and processing fees.

2. Grant of Rights

2.1License to Company
Contributor grants the Company a non-exclusive, worldwide, transferable, and royalty-bearing license to market, distribute, sublicense, and sell the Content through the Platform.
2.2Customer Licenses
The Company may grant RF, RM, Editorial, Extended, or Exclusive Licenses to Customers per the Customer License Agreement.
2.3Contributor Ownership
Contributor retains ownership of the Content but agrees not to revoke rights already granted to Customers.

3. Warranties by Contributor

The Contributor warrants and represents that:
  • They are the sole creator and rights holder of the Content.
  • The Content does not infringe any copyright, trademark, moral rights, or publicity rights.
  • If identifiable people appear, valid Model Releases are provided.
  • If recognizable private property, artwork, or logos appear, valid Property/Trademark Releases are provided (if required).
  • The Content is free of viruses, malicious code, or unlawful material.

4. Model, Property & Trademark Clearance

4.1Contributor responsibility
Contributor is solely responsible for securing necessary releases.
4.2Editorial use
Content marked as "Editorial Use Only" must not be marketed for commercial use.
4.3Right to remove
Company reserves the right to reject or remove Content without liability if clearance is inadequate.

5. Royalties & Payments

5.1Royalty share
Contributor will receive a royalty share of Net Revenue from sales of their Content, as displayed in their account dashboard.
5.2Payment schedule
Payments will be made monthly/quarterly (as per Company policy), subject to minimum payout thresholds and valid payment details.
5.3Withholding
Company may withhold or adjust payments in cases of fraud, refunds, or breach of this Agreement.

6. Rights of Company

The Company reserves the right to determine pricing, modify or remove Content that violates laws or guidelines, and use Content for marketing, promotional, and internal testing purposes without royalty payment (non-commercial use only).

7. Indemnity

Contributor shall indemnify and hold harmless SG INDIA INC, its directors, employees, and affiliates against claims, damages, or liabilities arising out of breach of Contributor warranties, infringement of third-party rights, or improper use of un-cleared models, properties, or trademarks.

8. Termination

8.1Notice
Either party may terminate this Agreement with 30 days’ written notice.
8.2Effect on sold licenses
Termination shall not affect licenses already sold to Customers.
8.3Immediate termination
The Company may immediately terminate this Agreement if Contributor breaches warranties.

9. Governing Law & Jurisdiction

This Agreement shall be governed by the laws of India, particularly the Indian Contract Act, 1872, Copyright Act, 1957, and the Information Technology Act, 2000. Courts at NOIDA, Uttar Pradesh shall have exclusive jurisdiction.

10. Miscellaneous

  • Entire Agreement: This is the full agreement between Contributor and Company.
  • Amendments: Must be in writing.
  • Severability: If any provision is invalid, the rest remains enforceable.

Acceptance

By uploading Content to indianstockvideo.com, the Contributor acknowledges that they have read, understood, and agreed to the terms of this Agreement. Print / Save
