1. Definitions
1.1
Content
means stock video footage, clips, or media available on the Website.
1.2
License
means the rights granted to the Licensee under this Agreement.
1.3
Royalty-Free License (RF)
means a license that allows broad, repeated use without paying royalties per use.
1.4
Rights-Managed License (RM)
means a license that allows limited, specific use of Content (e.g., territory, duration, media type).
1.5
Editorial Use
means use in news, commentary, educational, or non-commercial informative contexts, without altering the integrity of the Content.
1.6
Exclusive License
means rights granted solely to one Licensee, subject to terms.
1.7
Non-Exclusive License
means rights granted to multiple licensees simultaneously.
2. Types of Licenses Offered
2.1
Personal License (Non-Commercial)
Permits use in personal projects, academic works, or private presentations. Strictly no resale, advertising, or revenue-generating use.
2.2
Standard Commercial License (Royalty-Free Default)
Licensee may use Content in advertising, marketing, websites, apps, social media, presentations, films, and corporate videos. Content may be used globally and indefinitely (unless restricted by law). Unlimited impressions and distribution are allowed. Prohibited: resale or standalone redistribution of the video file.
2.3
Extended/Enterprise License
Broader commercial rights, including use in large-scale campaigns, OTT platforms, theatrical releases, or merchandising. May allow sublicensing within a corporate group. Pricing and scope vary depending on project requirements.
2.4
Editorial License
Content marked “Editorial Use Only” may not be used for commercial, promotional, or advertising purposes. Permitted uses include news reporting and documentaries; blogs, journals, textbooks, and editorial articles; educational and research presentations. Licensee must not alter or misrepresent the context of the Content.
2.5
Royalty-Free License (RF)
A one-time fee grants perpetual, worldwide use across multiple projects. No need to pay royalties per use. RF licenses are non-exclusive; the same Content may be licensed to others.
2.6
Rights-Managed License (RM)
Grants usage rights for a specific project, duration, territory, or distribution channel. Fees are based on factors such as audience size, territory, and media type. Renewal or additional usage requires a new license. May be granted as exclusive (content removed from sale) or non-exclusive.
2.7
Exclusive License (Negotiated)
Content licensed solely to one Licensee. Once sold, the clip is removed from the Website. Price depends on exclusivity period and scope of usage.
5. Model, Property & Trademark Clearance
5.1
Recognizable subjects
Some Content may depict recognizable people, properties, landmarks, brands, or trademarks.
5.2
No warranty of releases
Unless expressly stated that model/property releases or clearances are available, the Licensor does not provide any warranties that such rights are secured.
5.3
Licensee obligations
For commercial use of such Content, the Licensee is solely responsible for obtaining additional permissions, including but not limited to model releases, property releases, and trademark clearances.
5.4
No endorsement implied
Licensee agrees not to use Content in a way that would imply endorsement, sponsorship, or association without proper clearance.
